Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "Business Owner", "you") and CabJuno, Inc. ("CabJuno", "we", "us", "our") regarding your use of the CabJuno white-label ride-hailing platform and related services.

By accessing or using our services, creating an account, or engaging with our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply to all business clients who use CabJuno's technology platform to operate their own ride-hailing services.

CabJuno provides a white-label technology platform that enables businesses to operate their own ride-hailing services. Our services include:

• Native mobile applications for riders and drivers
• Web-based administrative dashboard
• Real-time GPS tracking and dispatch system
• Payment processing integration
• Analytics and reporting tools
• Customer support infrastructure
• Platform maintenance and updates

CabJuno acts as a technology provider only. You are responsible for operating your ride-hailing business, managing drivers, ensuring compliance with local regulations, and providing customer service.

3.1 Eligibility: You must be at least 18 years old and have the legal authority to enter into contracts. You represent that you are establishing a legitimate business and have all necessary licenses and permits to operate a transportation service in your jurisdiction.

3.2 Business Verification: We may require you to provide business registration documents, tax identification numbers, and other verification materials before activating your platform.

3.3 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.4 Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4.1 Permitted Use: You may use our platform solely to operate your legitimate ride-hailing business in accordance with these Terms and applicable laws.

4.2 Prohibited Activities: You agree not to:

• Use the platform for illegal activities or to facilitate illegal transportation services
• Attempt to reverse engineer, modify, or create derivative works of our software
• Share, resell, or redistribute access to the platform to unauthorized parties
• Use the platform to compete directly with CabJuno's business
• Interfere with the platform's security features or attempt unauthorized access
• Use the platform in a way that could damage our reputation or business

4.3 Compliance: You are solely responsible for ensuring your business operations comply with all applicable local, state, and federal laws and regulations.

5.1 Service Fees: You agree to pay all applicable fees as outlined in your service agreement, including monthly subscription fees, transaction fees, or revenue-sharing arrangements.

5.2 Payment Processing: Fees will be automatically charged to your designated payment method. You authorize us to charge your payment method for all applicable fees.

5.3 Late Payments: Overdue accounts may result in service suspension. A late fee may be applied to overdue balances.

5.4 Refunds: Fees are generally non-refundable except as required by law or as specifically stated in your service agreement.

5.5 Price Changes: We reserve the right to modify our pricing with 30 days written notice to existing clients.

6.1 Your Data: You retain ownership of all customer data, driver information, and business data generated through your use of the platform ("Your Data").

6.2 Data Usage: We may access Your Data solely to provide and improve our services, provide support, and ensure platform security.

6.3 Data Protection: We implement industry-standard security measures to protect Your Data, but you acknowledge that no system is completely secure.

6.4 Data Backup: You are responsible for maintaining backup copies of Your Data. We are not liable for data loss.

6.5 Privacy Compliance: You are responsible for complying with all applicable privacy laws regarding the collection and use of customer data in your business.

7.1 CabJuno Property: The platform, software, technology, and all related intellectual property remain the exclusive property of Cabjuno.

7.2 License Grant: We grant you a limited, non-exclusive, non-transferable license to use our platform solely for operating your ride-hailing business.

7.3 Your Branding: You retain ownership of your business name, logo, and branding materials used with the platform.

7.4 Feedback: Any feedback or suggestions you provide regarding our platform may be used by CabJuno without compensation.

8.1 Uptime: We strive to maintain 99.9% platform uptime but do not guarantee uninterrupted service.

8.2 Support: Technical support is provided via email at support@cabjuno.com with response times based on issue priority.

8.3 Maintenance: We may perform scheduled maintenance that may temporarily affect service availability.

8.4 Updates: We regularly update the platform with new features and security improvements at no additional cost.

9.1 Service "As Is":Our platform is provided "as is" without warranties of any kind, either express or implied.

9.2 Limitation: CabJuno's total liability for any claims arising from these Terms shall not exceed the amount paid by you to CabJuno in the 12 months preceding the claim.

9.3 Indirect Damages: We are not liable for any indirect, incidental, special, consequential, or punitive damages.

9.4 Business Operations: Cabjuno is not responsible for your business operations, driver actions, customer disputes, or regulatory compliance issues.

10.1 Termination by You: You may terminate your service at any time with 30 days written notice.

10.2 Termination by CabJuno: We may terminate your service immediately for breach of these Terms or with 30 days notice for any other reason.

10.3 Effect of Termination: Upon termination, your access to the platform will cease, and we will provide you with a final data export.

10.4 Survival: Provisions regarding payment obligations, data ownership, intellectual property, and limitation of liability survive termination.

11.1 Governing Law: These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

11.2 Dispute Resolution: Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

11.3 Modifications: We may modify these Terms with 30 days notice. Continued use constitutes acceptance of modified Terms.

11.4 Severability: If any provision is found unenforceable, the remainder of these Terms remains in effect.

11.5 Entire Agreement: These Terms, together with your service agreement, constitute the entire agreement between parties.
